\nCCA has already paid for two extensions on their Option Agreement\nfor land purchase.\n\n<\/a>\nThe\n\nSecond Extension Term<\/a>\nwas paid for in March 2010\n\nand forwarded to the land owner.<\/a>\nHere’s video of\n\nCol. Ricketts announcing it to\nthe VLCIA board 15 March 2011.<\/a>\nThat second extension expires 13 March 2012, six weeks from today.\n

\nA Third Extension Term is possible, but has to be negotiated.\nHere’s what\n\nPurchase and Development Agreement<\/a> of 17 August 201\nsays:\n

\n1.4.2.3. Third Extension Term.<\/u>\nThe Authority shall use commercially reasonable efforts to obtain an option\nfor a third extension term of twelve (12) months\n(the “Third Extension Term<\/strong>“).\nIn the event the Authority is able to obtain such extension option\non terms and conditions such that any required earnest money to be paid\nby the Company in connection with the exercise of such extension option does not\nexceed $75,000, and there is no increase of the price of the Site\nor any other payments not already required by the Option Agreement,\nthen the Authority shall enter into a written agreement\n(the “Third Extension Term<\/strong>“)\nwith the Seller reflecting the terms and conditions of such extension option….\n<\/blockquote>\nWhat happens if the Authority does not provide such an extension option?\n\n\n
\n5.1.2. Expiration<\/u>.\nIf the Company has not issued the NTP by the expiration of the Term\nof the Option Agreement, then this Agreement shall expire and terminate,\nwithout any further liability on the part of any Party to the other,\nexcept as otherwise expressly provided in this Agreement.\n<\/blockquote>\nI am not a lawyer, but that sure seems to say that\nall VLCIA has to do to stop CCA’s private prison is to not\nprovide an option for a third extension by March.\n

\nAssuming CCA has not provided “the NTP” already.\nWhat is this NTP?\n

\n1.6.2. Development Schedule: Notice to Proceed<\/u>.\nNotwithstanding anything\ncontained herein to the contrary and except for the due diligence\nprovided for in Section 1.5 above, the Parties hereto shall have no\nobligation to proceed with design, permitting, installation or construction\nof the Project, prior to receiving a Notice to Proceed\n(“NTP”<\/strong>) from the Company, which the\nCompany may issue or withhold in its absolute discretion.\n<\/blockquote>\nBut CCA can’t issue the NTP if the second extension expires.\n

\nSo, has CCA already issued the NTP?\nIf so, why wasn’t it supplied in response to the open records request?\n

\n\n<\/a>\nIf not, the Authority can refuse to provide a third extension,\nand in six weeks from now the contract with CCA terminates.\n

\nIf you want to help provide the Authority with evidence of\n\ncommunity opposition<\/a>,\nhere’s a\n\npetition to stop the CCA private prison.<\/a>\n
